1. Acceptance and Scope of Agreement
1.1. Agreement: These Terms and Conditions (T&Cs) govern all engagements between the Client (the individual or corporate entity requesting the service) and Sarah Coburn / Executive Presentation Capacity Service (EPCS). 1.2. Service Definition: EPCS provides outsourced executive communication services, primarily including strategic content research, narrative drafting (Tier 2), and professional delivery/embodiment coaching. 1.3. Capacity Assessment: All engagements begin with a Confidential Capacity Assessment to define the scope, required Service Tier, and resulting Fee. 1.4. Entire Agreement: No changes to these T&Cs shall be valid unless agreed upon in writing by both parties.
2. Fees, Invoicing, and Payment Terms
2.1. Fee Structure: Fees are based on the agreed-upon Service Tier (Tier 1: Messaging Assurance or Tier 2: Deep Insight Delivery) and range from £1,000 to £3,500 GBP per engagement. 2.2. Payment Terms: Retainer: A non-refundable retainer equal to fifty percent (50%) of the total fee is required upon signing the Service Agreement to initiate the Voice Capture and Research phases. Balance: The remaining fifty percent (50%) of the fee is due upon completion of the Final Briefing Session, immediately prior to the final presentation deployment. 2.3. Currency: All fees are quoted and payable in Great British Pounds (£GBP). 2.4. Late Payment: EPCS reserves the right to withhold final EBD documentation, cease further services, and apply statutory interest to overdue invoices.
3. Service Tiers and Deliverables
3.1. Tier 1 (Messaging Assurance): Focuses on refinement and expert delivery of the Client's existing content. Research is limited to contextualization. 3.2. Tier 2 (Deep Insight Delivery): Includes full, independent strategic research, competitive analysis, data sourcing, narrative drafting, and the creation of the mandatory Executive Briefing Document (EBD). 3.3. Executive Briefing Document (EBD): For Tier 2, the EBD is a key deliverable containing the executive summary, key findings, and the roster of anticipated audience questions with pre-approved answers. This is formally transferred to the Client's Subject Matter Expert (SME) at the Final Briefing.
4. Integrity and Compliance Protocol
4.1. The Integrity Firewall (Q&A Handoff): The EPCS model requires a seamless transition to the Client's designated Subject Matter Expert (SME) for all technical Question & Answer sessions. EPCS will not field technical questions, and this is a non-negotiable component of the Service. 4.2. Client Disclosure: The Client affirms that the executive/Board is fully informed and has approved the two-part delivery model (EPCS presents, SME handles Q&A). 4.3. Confidentiality: All proprietary data and strategic information shared by the Client is strictly governed by a UK-compliant Non-Disclosure Agreement (NDA) signed prior to engagement kickoff. 4.4. IR35 Status (UK Clients): EPCS is structured to demonstrably support genuine self-employment. The Client acknowledges their role in the engagement structure designed to support an "Outside IR35" status, in accordance with Off-Payroll Working Rules.
5. Termination and Cancellation
5.1. Client Cancellation: If the Client cancels the engagement after the Retainer has been paid, the Retainer is non-refundable as it covers the initial, high-value time spent on Voice Capture, Strategic Scoping, and preliminary research. 5.2. Termination by EPCS: EPCS reserves the right to terminate the engagement immediately if the Client fails to provide necessary information, breaches confidentiality, or fails to meet payment obligations.
6. Review Cycles and Liability
6.1. Review Cycles: A defined number of review cycles for content and delivery refinement will be agreed upon during the Capacity Assessment. Any requests for revisions exceeding the agreed scope may incur additional fees. 6.2. Limitation of Liability: EPCS is responsible only for the integrity and preparation of the documented materials and the quality of the presentation delivery. EPCS is not liable for the final business or strategic outcomes resulting from the presentation or the content of the SME's Q&A response.
7. Governing Law
7.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
